Wholesale Mobility Solutions presents VPS wholesale clients with the opportunity to bundle their full-service Verizon wholesale wireline services with wireless voice, text messaging and

Verizon Buys Alltel; Takes Over The Wireless World

The airways are getting a little less crowded now that Verizon Wireless has confirmed that it has entered into an agreement with Alltel and Atlantis Holdings to acquire Little Rock, Ark.-based Alltel, making Verizon the largest wireless network.

Verizon Wireless will pay $5.9 billion in cash and take over $22.2 billion in debt. The deal is expected to be completed by the end of the fourth quarter, pending regulatory approval.

"This is very natural and logical fit for Verizon Wireless, given the complementary geographic coverage and technology, for Verizon to grow its business," said Verizon spokesman Jim Gerace.

The company told Forbes.com that it has not yet decided how to integrate Alltel into the company, but noted that Verizon does not yet have a substantial presence in Little Rock and would expect to keep a large portion of Alltel's headquarters.

UBS analyst John Hodulik told clients in a note that wireless will now represent 55% of revenues for Verizon. "The deal will make Verizon the largest wireless carrier in the US, with 80 million total subscribers prior to any divestitures," he said. " In any acquisition, one of the biggest risks facing Verizon is that Alltel’s growth may not be sustainable. Maintaining the growth through the integration of its assets into the Verizon fold will be one of the main challenges."

Investors didn't seem worried about the company keeping up the good work. Verizon shares were up 5.4%, or $2.00, to $38.99, during late-day trading in New York. Verizon owns 55% of Verizon Wireless, with the rest belonging to England's Vodafone , and is set to take the top wireless-provider spot from AT&T, if it successfully acquires Alltel from Texas Pacific Group's private-equity consortium.

Shares in Vodafone closed up 4.3%, or 6.60 pence ($13 cents), to 161.25 pence ($3.15), in London on Thursday. The stock had traded at a 1.5% deficit for much of the day, weighed down by fears that an offer for Alltel would hurt Vodafone's chances of a cash return from its wireless joint venture with Verizon.

The announcement of a concrete $28.1 billion cash-and-debt offer for Alltel Thursday afternoon seemed to reassure Vodafone investors, with the promise that it would create $9.0 billion in total cost and capital expenditure savings; there was also the hint that dividends would eventually come Vodafone's way.

"While Verizon Wireless' free cash flows will initially be deployed in reducing net debt, the Verizon Wireless board has agreed to conduct an annual dividend review process and to the payment of enhanced tax distributions," said Arun Sarin, outgoing chief executive of Vodafone.
